Overview of Our Terms of Use

These terms govern how we engage, bill, approve, and deliver work.

1) Contract formation & when these Terms of Use bind

By the actions below, you accept the Terms of Use then in effect:

  • a) requesting or authorizing work after receiving our quote/proposal;
  • b) paying any invoice or deposit (Zelle/ACH/card/wire);
  • c) sending content/assets or granting access (site, hosting, DNS, ads);
  • d) approving a draft/demo or asking us to publish/go-live.

These terms are incorporated into every invoice, SOW, and email approval. If a signed SOW conflicts with these terms, the SOW controls for that item only.

2) Scope, change orders, timelines

Work is the scope described in your proposal/SOW. Items not listed require a written change order with fee/timeline adjustments. Delays in content/approvals extend timelines.

3) Payments, chargebacks, transfers, late fees

Deposits are non-refundable. Work starts after deposit clears. Invoices are due upon receipt unless otherwise stated. Late balances accrue the lesser of 1.5%/month or the maximum allowed by law. You agree to pay reasonable collection costs and attorneys’ fees for unpaid balances.

Zelle/ACH/wire/bank transfers are final. By sending payment, you authorize the work and agree any eligible refund is handled only via our email process—not bank/Zelle disputes or reversals. Chargebacks for delivered in-scope services are prohibited; invalid disputes may incur a $150 admin fee plus third-party fees.

4) Go-Live approval, acceptance & no refunds after publish

We provide drafts/demos/staging for review. You have 5 business days from delivery to request in-scope fixes. Silence or production use equals acceptance. When you approve the final draft and instruct Publish/Go-Live, the project is accepted and substantially complete. No refunds after Publish/Go-Live approval.

5) Liquidated damages for breach ($3,000 or 30%)

Initiating a reversal/chargeback for delivered work, granting unauthorized admin access, or refusing the required email dispute process is a material breach. Upon breach, you owe liquidated damages of USD $3,000 or 30% of the project/service value (whichever is greater), plus processor/third-party fees and reasonable collection costs.

6) Credentials, third-party access & responsibility shift

Once we provide admin or hosting/server/DNS credentials to you or your designee, you assume full responsibility for code, content, configuration, security, data, and outcomes. Warranties/support are void from that point unless we agree otherwise in writing. Remediation is billable. Unapproved changes to DNS/hosting/code/plugins/server settings are at your risk.

7) Domains: ownership & transfer window (up to 60 days)

Domain transfers follow ICANN/registry rules and can take up to 60 days (new-registration locks, prior transfer locks, registrant changes, registrar/registry holds, anti-fraud checks). We release the EPP/Auth code and initiate transfer within 5 business days after your account is current, identity/registrant info verified, and destination registrar details confirmed. DNS propagation may take up to 48 hours. See the ICANN Transfer Policy.

8) Hosting & email deliverability (if purchased)

Uptime/performance depend on upstream providers; no absolute SLA unless your SOW includes a paid SLA. We run routine backups for disaster recovery, but you must maintain independent backups. Email deliverability isn’t guaranteed; see SPF, DKIM, DMARC.

9) Intellectual property & portfolio license

Before full payment: all work is ours; you have review rights only. After full payment: you own the final approved deliverables listed in your SOW (excluding stock assets, fonts, third-party plugins/themes, server configs, and our proprietary tools; open-source components remain under their licenses). You grant us a perpetual, royalty-free portfolio license unless you opt out in writing before project start.

10) Warranties & disclaimers

Services will be performed in a professional and workmanlike manner. No guarantee of specific outcomes (rankings, traffic, sales, ad approvals, deliverability). Services are provided “as is.”

11) Limitation of liability

No indirect, special, incidental, punitive, or consequential damages. Our total liability for any claim is capped at the fees you paid in the 3 months preceding the claim.

12) Indemnification

You will defend, indemnify, and hold us harmless from claims arising from your content, instructions, third-party access you authorize, unlawful data use, or your breach of these terms.

13) Communications, call recording & prohibited notice channels

Service updates and support are primarily by email. Phone is sales/support only and may be recorded; do not use phone to submit legal notices, disputes, or refunds.

14) Notices & submission requirements (email-only; no PDFs)

Send refund requests, disputes, cancellations, takedowns, and legal notices in the body of an email to [email protected] or [email protected]. PDFs/attachments are not valid notice (attachments may be included for reference). Required in email body: invoice number; business name + legal contact/title; service dates; domain(s)/project ID(s); clear request & reason; date/time of any Publish/Go-Live approval. A notice is deemed received when our mail server records delivery to one of the emails above.

15) No personal claims; company-only recourse

Your contract/claims are exclusively with UR Local Marketing LLC (DBA “El Cajon Services”). You waive and release any claims against individuals (owners, managers, employees, contractors—including Ahmed Al-Janahi) in their personal capacity. Filing or threatening a personal claim is a material breach and triggers the liquidated damages in §5.

16) Refunds & cancellations (summary)

No refunds after Publish/Go-Live approval. Non-refundable at all times: SEO/local marketing, ad management fees, hosting, custom development, onboarding/setup, domains, third-party licenses, and deposits. Month-to-month services: cancel by email 14 days before the next cycle. Auto-renewals (domains/hosting/emails): billed per term unless you cancel by email at least 14 days before renewal.

17) Dispute resolution; governing law; venue

Except for emergency injunctive relief, disputes are resolved by binding arbitration (AAA or JAMS) in San Diego County, California before a single arbitrator. Class/representative actions and personal small-claims filings are waived. California law governs. Venue for any permitted court action is San Diego County, CA. See AAA and JAMS for process info.

18) Force majeure

We are not liable for delays/outages due to events beyond our reasonable control (datacenter failures, network issues, power outages, DDoS, platform changes, vendor incidents, natural disasters, war, strikes, laws, etc.).

19) Miscellaneous

  • Entire Agreement. These terms + your SOW/invoice are the entire agreement.
  • Severability. If a clause is invalid, the rest remains in effect.
  • No waiver. Our failure to enforce is not a waiver.
  • Survival. §§3–7, 9–17 survive termination.
  • Electronic acceptance. Emails, e-signatures, and approvals are valid and binding.
